1.        USE AND VALIDITY

1.1     All deliveries are subject to the following terms and conditions unless otherwise agreed in writing. 

1.2     Buyer's statement of special conditions, offers, orders etc. is not regarded as valid unless  J & Maya - Denmark submits them in writing.

2.       OFFERS / ORDERS

2.1     Agreement between the buyer and J & Maya - Denmark will be considered as concluded only when J & Maya – Denmark accepts the order.

2.2     Cancellation or modification of an order can only occur with J & Maya - Denmark's written approval.

2.3     The buyer is obliged to compensate J & Maya – Denmark for costs and losses that stem from the cancellation or alteration of an order, with an amount equivalent to at least 10% of the agreed purchase price excluding VAT.

2.4     J & Maya - Denmark is entitled at any time to change the materials of the goods offered, where the product continues to meet the general standard and special specifications given to the buyer at the time of purchase.

2.5     J & Maya - Denmark is eligible to deliver the agreed quantity + / - 10% for custom made products and all products which are non catalog and non standard.

3.       PRICES

3.1     J & Maya - Denmark's prices are quoted excluding VAT, other taxes, duties, fees, shipping, handling fees, etc.
 

4.       PAYMENT

4.1     Prepayment is required unless otherwise agreed in an explicit written agreement.

4.2     If the buyer fails to pay on time, J & Maya - Denmark may charge interest in accordance with the Danish Interest Act from the due date.

4.3     The buyer is not entitled to withhold any portion of the purchase amount as a security for performance, and such detention would be considered a breach of contract.

4.4     Payments are accepted using bank-transfer T/T, PayPal, Visa and Mastercard. 

5.       RETENTION OF GOODS

5.1     J & Maya - Denmark will retain all deliveries until payment is received unless otherwise agreed and confirmed in writing by J & Maya - Denmark.

6.       DELIVERY

6.1     Delivery time is generally 2-3 days unless otherwise specified. This is an approximate and is non-binding unless otherwise agreed and confirmed in writing by J & Maya - Denmark.

6.2     J & Maya - Denmark is allowed if necessary to extend the agreed delivery time by up to 10 days from the expiry of the fixed delivery date, provided that J & Maya - Denmark within this time, give the buyer notice of the extension. In this case the buyer is not entitled to any claims until after the expiry of the extended delivery time.

6.3     Customers are allowed to return a bought product within 14 from the date of purchase except custom made goods or non stock and non standard goods.

6.4        The place of delivery, in the absence of other specific notice in the order is,

6.5     Extended (remote) areas orders from customers located in areas that are defined by UPS as extended areas (see list of extended areas post codes), will be sent with Post Denmark as Priority Post, not insured unless otherwise agreed between the customer and J & Maya - Denmark.

7.       DRAWINGS AND DESCRIPTIONS

7.1     All drawings and technical documents relating to goods or their manufacturer, remain J & Maya – Denmark’s property.

7.2     Without J & Maya - Denmark's written consent, materials mentioned may not be used, copied, reproduced, transmitted or otherwise communicated to a third party.

7.3     J & Maya - Denmark is not obliged to disclose the materials and the tools used in the production process. All tools associated with the production of a product are a property of J & Maya - Denmark. 

8.       INVESTIGATION OBLIGATION

8.1     Upon receiving the goods, the buyer is obliged to make the necessary examination to determine any deficiencies. 

9.       COMPLAINTS

9.1     The buyer shall give written notice of defects to J & Maya - Denmark without any delay after that the shortage is discovered or should have been discovered. This also applies to complaints over amount differences. The notice must include a specification of the shortages.

9.2     If the buyer does not inform J & Maya - Denmark of a defect within a reasonable amount of time, the buyer loses his right to submit claims in respect of shortages.

9.3     In the event of a complaint, the buyer is not entitled to dispose the delivery or return it to J & Maya - Denmark without J & Maya - Denmark's written consent.

9.4     In the event of filing a complaint which after an investigation was found to be false J & Maya - Denmark is entitled to reimbursement for the work and other costs associated with the complaint.

9.5     Complaints concerning an indication on the invoice must be submitted in writing within 5 days after receipt of the invoice.

9.6     shades, font sizes and graphic proportions may vary depending on what you see on the computer screen. Complaints associated with color shades, font sizes and graphic proportions are limited to cases where a prototype copy of the product was ordered before production starts.

9.7     If delivery is canceled due to force majeure, J & Maya - Denmark will do its best to compensate for the order but will not give any binding commitments for compensation.

10.    RESPONSIBILITY

10.1   J & Maya - Denmark's liability for defects is limited to replacement or repair.

10.2   J & Maya - Denmark's liability does not cover defects and mistakes arising from material or products provided by the buyer or specified by the buyer.

10.3   J & Maya - Denmark assumes that the buyer does not infringe third party rights and has obtained all relevant permissions such as copyrights.

10.4   J & Maya - Denmark has no responsibility for any defects other than those specified in this section. This applies to any losses which may occur, including loss of earnings or other indirect losses.

10.5   J & Maya - Denmark assumes no responsibility for products that were supplied and were used illegally or for unintended purposes. 

11. DISPUTE SETTLEMNT

11.1   Any dispute between the buyer and J & Maya - Denmark will be decided by the court in Aarhus - Denmark, under Danish law.

 APENDIX – PRINTED WRISTBANDS (NEXT DAY DELIVERY)

Orders that are in total 400 and under Poly Paper wristbands will be sent with Post Denmark as Priority Post, not insured.

Orders that are in total over 400 Poly Paper wristbands will be sent with UPS express delivery, insured.

Delivery: We do our best to deliver the wristbands as soon as possible. If we receive the order and payment by 09:00 AM, without a binding guarantee, wristbands will be dispatched the next day.
